1. Identity and scope
The services are provided by Vik Consulting SRL under the Thalionis brand, VAT BE 0693.674.615, reachable at assessment@thalionis.com. These conditions apply to companies and professionals who order an accompanied assessment or use Studio Thalionis. They exclude consumers, unless expressly accepted in writing by Thalionis.
2. Definitions
“Client” means the co-contracting company. “User” means a person authorized by the customer. “Candidate” means the person being evaluated. “Studio” designates the tool allowing the client to compose and manage their assessments. “Accompanied assessment” designates a mission carried out by the Thalionis team. “Credit” means the business unit used in Studio.
3. Contractual documents
The contract is made up, in order of priority, of the special conditions or quote, the data processing agreement, these conditions and the description of the offer. Any exemption must be in writing. An order is concluded upon acceptance of the quote, online validation or paid activation of the service.
4. Description of services
Thalionis offers three levels of supported assessments – Alpha, Theta and Omega – as well as Studio Thalionis. The exact scope, number of scenarios, deadlines, deliverables and human intervention are those indicated in the validated offer. The results constitute a decision aid and not a guarantee of future performance.
5. Accounts and security
The client designates its users and manages their authorizations. Identifiers are personal, confidential and cannot be shared. The customer immediately informs Thalionis of a departure, undue access or incident. Thalionis may suspend access in order to protect data, the service or other users.
6. Creation of an assessment and candidates
The client provides information that is accurate, relevant and limited to the stated professional purpose. It informs the candidates, has a valid legal basis and refrains from any discriminatory or question unrelated to the function. It checks the job description, course parameters and language before sending invitations.
7. Studio Credits
A credit is worth €30 excluding VAT at the standard rate, unless special offers. The compulsory common base represents 5 credits per invited candidate. Each scenario adds 1 credit per candidate. Credits are committed when the invitation is sent and cannot be reallocated after the start of the course, except for an error attributable to Thalionis.
The validity period, volumes, possible discounts and renewal conditions appear in the offer or the interface before purchase. Promotional or free credits have no monetary value, are not convertible and expire on the date indicated.
8. Trial account
The trial includes 24 credits offered for one month. It is reserved for companies established in eligible countries, subject to data verification and limited to one account per company. Trial credits are non-refundable, non-convertible and expire upon closure of the trial account.
9. Price, VAT and payment
Prices are expressed excluding VAT. VAT and the total amount are indicated before validation. Unless otherwise agreed, invoices are payable within thirty calendar days. Any delay may result in interest and compensation authorized by Belgian law and the suspension of new reports, after appropriate notification.
10. Reservation, cancellation and postponement
The conditions for cancellation or postponement of human intervention appear in the offer and the Refund Policy. The client notifies Thalionis as soon as a candidate or an interlocutor cannot participate. A service already prepared or a reserved slot may remain due within the limits provided for in the contract.
11. Obligations of Thalionis
Thalionis provides the Services with care, competence and confidentiality. The announced deadlines assume receipt of the necessary information, availability and validations. Thalionis can call on qualified consultants and service providers while supervising their confidentiality, security and data protection obligations.
12. Availability, maintenance and support
Thalionis implements reasonable means to ensure the availability and security of the service. Maintenance, updates or incidents may result in temporary interruption. In the event of a significant incident, Thalionis informs the customers concerned and takes reasonable measures to restore service and preserve data.
13. Artificial intelligence and human decision-making
Certain functions can assist in structuring, reconciling and summarizing information. AI never decides on the recruitment, promotion or development of a person. The customer remains responsible for his decision and must guarantee effective human control. Users comply with the instructions, usage limits and skill requirements communicated by Thalionis.
14. Data protection and confidentiality
The roles and obligations of the parties are specified in the Privacy Policy and, when Thalionis acts as a subcontractor, in an agreement compliant with article 28 of the GDPR. Each party protects the confidential information received and limits its access to authorized persons.
15. Intellectual property and license
The questionnaires, algorithms, scenarios, grids, methods, interfaces, reports, brands and content remain the property of Vik Consulting SRL or their owners. Customer receives a limited, non-exclusive, non-transferable right to use the Services and Reports for its internal business purposes. Any unauthorized extraction, reproduction, reverse engineering, distribution or commercialization is prohibited.
16. Liability
Each party is liable for direct damage caused by its proven fault. Except gross negligence, fraud, injury to physical integrity or liability which cannot be limited by law, Thalionis' total liability is limited to the amount excluding VAT paid for the service causing the damage during the preceding twelve months. Thalionis is not responsible for customer decisions, inaccurate information provided by the customer or indirect damages. This clause applies within the limits of Belgian law relating to unfair clauses between companies.
17. Suspension, termination and termination of service
Thalionis may suspend the service in the event of a security risk, illicit use, serious violation or persistent non-payment. In the event of a remediable breach, the defaulting party receives a reasonable period of time to correct the situation. At the end of the contract, access is closed and the data is returned, deleted or retained in accordance with the contract, the GDPR and legal obligations.
18. Force majeure
Neither party is responsible for a delay caused by an unforeseeable event beyond its control that it could not reasonably avoid. The party concerned informs the other and limits the consequences. If the impediment becomes lasting, the parties seek a proportionate solution.
19. Complaints and disputes
Any complaints are sent to assessment@thalionis.com with useful references. An invoice dispute must be justified and transmitted within eight calendar days, without depriving the customer of the applicable mandatory rights.
20. Modification and severability
Substantial modifications are communicated before their entry into force. If one clause is invalid, the others remain applicable and the clause concerned is replaced by a valid provision pursuing a comparable objective.
21. Applicable law and jurisdiction
Belgian law applies. The parties first seek an amicable solution. Failing this, the French-speaking courts of Brussels have jurisdiction, subject to any mandatory rule to the contrary.
